Welcome to Swing Unit Marketplace (“Swing Unit,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, platform, and related services (the “Services”).

By using our Services, you agree to these Terms. Please read them carefully.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use our Services. By using the platform, you represent that the information you provide is accurate and complete.

2. Our Services

Swing Unit Marketplace provides a platform to connect:

• Landlords/property managers with vacant units (“Supply Side”), and
• Landlords/property managers needing temporary relocation housing under THP (“Demand Side”).

We provide:

• Matching tools,
• Standardized license agreements,
• Payment processing, and
• Optional compliance/insurance services.

We are not a landlord, property manager, broker, or insurer. We provide a technology platform only.

3. Accounts

To use certain Services, you must create an account. You are responsible for:

• Keeping your login credentials secure.
• All activity under your account.
• Promptly updating information if it changes.

4. Listings & Transactions

• Supply Side users must ensure unit information is truthful, accurate, and lawful.
• Demand Side users are responsible for complying with all THP and local regulations.
• All transactions are conducted through our payment system.
• Swing Unit takes a 20% marketplace fee on gross rent.

We may remove or reject listings that violate these Terms or applicable laws.

5. Payments

• Payments between landlords are processed through a third-party provider.
• Fees are deducted at the time of payment.
• You authorize us to charge your account or payment method for fees and services.

6. Compliance

Users are solely responsible for:

• Complying with the Los Angeles Tenant Habitability Program (THP) or other applicable local regulations.
• Using revocable license agreements (not leases) to prevent unintended tenancy.
• Obtaining any required approvals from LAHD or relevant housing authorities.

Swing Unit provides templates and tools but does not guarantee compliance.

7. Insurance & Liability

• We may offer optional insurance products through third parties.
• Swing Unit is not an insurer and does not assume liability for tenant damages, disputes, or property loss.
• You agree to hold Swing Unit harmless from claims arising from use of the Services, except where prohibited by law.

8. Prohibited Uses

You may not use the Services to:

• Violate housing, rent control, or tenant protection laws.
• Misrepresent property details.
• Engage in fraud, harassment, or unlawful discrimination.
• Attempt to reverse engineer or disrupt the platform.

9. Intellectual Property

All content, design, and technology on the platform belong to Swing Unit or our licensors. You may not copy, distribute, or use it without permission.

10. Termination

We may suspend or terminate your account if you:

• Violate these Terms,
• Engage in fraud or unlawful activity, or
• Harm the reputation or security of the platform.

You may close your account at any time. Certain obligations (e.g., payment of fees) survive termination.

11. Limitation of Liability

• Swing Unit is not liable for indirect, incidental, or consequential damages.
• Our total liability for any claim is limited to the amount you paid us in fees in the last 12 months.

12. Indemnification

You agree to indemnify and defend Swing Unit against claims, damages, or expenses arising from your use of the Services, your listings, or your violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of California. Any disputes must be resolved in the courts of Los Angeles County, CA.

14. Changes to These Terms

We may update these Terms at any time. If we make significant changes, we will notify you by posting an updated version on the website.
